Terms & Conditions

The binding agreement between you and Tejasya governing your access to and use of the Platform.

Preamble

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and [Tejasya's registered legal entity name], a [private limited company / LLP / proprietorship, as applicable] incorporated under the laws of India (CIN/registration number [Corporate Identification Number / registration number, if applicable]), having its registered office at [registered office address]("Tejasya", "Company", "we", "us"), governing your access to and use of the Tejasya website, application, and related services (together, the "Platform").

This document is an electronic record under the Information Technology Act, 2000 and rules made thereunder, and is published in accordance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, which requires publication of rules, regulations, and terms of use for access to the Platform. As an electronic record generated by a computer system, it does not require a physical or digital signature.

By creating an account, clicking "I agree" where presented, or otherwise accessing or using the Platform, you accept these Terms in full. If you do not agree to these Terms, you must not access or use the Platform.

1. Definitions

  • "Content" means any resume, profile information, text, interview response, or other material submitted by, or generated for, a User through the Platform.
  • "Services" means the resume analysis, upgrading, benchmarking, roadmap, job-matching, interview-practice, and hiring-side features made available on the Platform, as they exist from time to time.
  • "Credits" means the pre-paid, non-currency unit used to access certain paid Services, as described in Section 6.
  • "Recruiter" means a User who has registered in a hiring capacity to post roles or search Candidates.
  • "Candidate" means a User who has enabled visibility of their profile to Recruiters.
  • Capitalised terms not defined in these Terms have the meaning given to them in the Privacy Policy.

2. Eligibility

You represent and warrant that you are at least 18 years of age and competent to enter into a contract within the meaning of Section 11 of the Indian Contract Act, 1872 — that is, of the age of majority, of sound mind, and not disqualified from contracting under any law to which you are subject. If you access the Platform on behalf of an organisation (for example, as a Recruiter), you further represent that you have authority to bind that organisation to these Terms.

3. Account registration and security

  • You must provide accurate, current and complete information when creating an account, and keep it up to date.
  • You are solely responsible for maintaining the confidentiality of your sign-in credentials and for all activity that occurs under your account, whether or not authorised by you.
  • You must notify us immediately at the contact details in Section 22 if you become aware of any unauthorised use of your account.
  • We reserve the right to refuse registration, or to suspend or terminate an account, in accordance with Section 16.

4. Description of Services

Tejasya provides an artificial-intelligence-assisted platform for career development, including resume scoring and upgrading, market benchmarking, career roadmaps, job-description fit analysis, job matching, and interview practice, together with tools for Recruiters to post roles and search Candidates.

We reserve the right, at our sole discretion, to add, modify, suspend or discontinue any Service, in whole or in part, at any time, with or without notice, save that we will not do so in a manner that deprives you of Credits you have already purchased and not used, without a corresponding refund or replacement as described in Section 7.

5. AI-generated content; no professional advice

Scores, benchmarks, roadmaps, job-match results, interview feedback and rewritten resumes made available through the Services are generated using artificial intelligence models, our own and those of third-party providers. They constitute guidance only and do not constitute, and must not be relied upon as, career, employment, legal, financial or professional advice of any kind. AI-generated output may be incomplete, inaccurate, or out of date, and Tejasya makes no representation or warranty as to its accuracy, completeness or fitness for any particular purpose, including the likelihood of securing employment, a particular salary, or a particular interview outcome.

You are solely responsible for reviewing, verifying and exercising independent judgment over any AI-generated Content before relying on it, sharing it, or submitting it to any third party, including a prospective employer.

6. Interview practice and integrity monitoring

The interview-practice feature is provided for genuine, good-faith skills practice only. By using it, you consent to the integrity-monitoring described in Section 6 of the Privacy Policy for the duration of that session. Attempting to circumvent that monitoring, using unauthorised assistance during a session, or otherwise using the feature in bad faith is a breach of Section 10 (Acceptable Use) and may result in that session being invalidated, without entitlement to a refund of any Credits applied to it.

6A. Hiring-side features

Where you register as a Recruiter, you additionally represent that any role you post is a genuine, currently available opportunity, and you agree to use Candidate contact details obtained through the Platform solely to evaluate that Candidate for a genuine employment opportunity, and not for any other purpose, including unsolicited marketing. Misuse of Candidate data obtained through the Platform is a material breach of these Terms and of the licence under which that data was disclosed to you.

7. Fees, Credits and payment terms

  • Certain Services are metered using Credits, purchased in Indian Rupees, inclusive of applicable Goods and Services Tax unless stated otherwise at checkout. A tax invoice will be made available for each purchase.
  • Payments are processed by a Reserve Bank of India–authorised Payment Aggregator. We do not collect, transmit or store your full card, UPI or bank account credentials on our own systems.
  • A Credit is debited from your balance only when a paid feature successfully delivers a result to you; if the underlying process fails, no Credit is debited, and any Credit provisionally held for that request is released.
  • Credits are personal to your account, are not transferable to another User or account, are not redeemable for cash, and, save as expressly stated in Section 8, are non-refundable.
  • We may vary the price or Credit cost of a Service prospectively, on notice, without affecting Credits you already hold or have already spent.

8. Cancellation and refund policy

Save where a specific Service states an applicable refund mechanism at the time of purchase or request (for example, the automatic refund of Credits where an Expert Review request is cancelled by you before it is claimed, or declined by the reviewer), amounts paid for Credits are non-refundable, including where you choose not to use Credits you have purchased. Where these Terms are read as applying to Tejasya as an e-commerce entity for the purposes of the Consumer Protection (E-Commerce) Rules, 2020, we will acknowledge a consumer complaint regarding a transaction within forty-eight (48) hours of receipt and seek to redress it within one (1) month of the date of receipt, in accordance with those Rules.

9. Intellectual property rights

9.1 Our IP. The Platform, including its software, design, look and feel, trademarks, logos, and the structure and selection of its resume templates (as distinct from your Content placed within them), is owned by Tejasya or its licensors and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property law. No right, title or interest in the Platform is transferred to you by these Terms, other than the limited, revocable, non-exclusive, non-transferable licence to access and use the Platform in accordance with these Terms.

9.2 Your Content. You retain all ownership rights in the Content you submit. You grant Tejasya a limited, non-exclusive, royalty-free licence to store, reproduce, and process your Content solely as necessary to provide the Services you request, including transmitting it to a third-party AI provider as described in the Privacy Policy. This licence terminates when the relevant Content is deleted, save for copies retained in routine backups for a reasonable period thereafter.

10. Acceptable use

You agree that you will not, and will not attempt to:

  • Use the Platform for any purpose that is unlawful, or in a manner that violates any provision of the Information Technology Act, 2000, including but not limited to Sections 43, 66, 66C and 66D thereof (relating to unauthorised access, identity theft, and cheating by personation using computer resources).
  • Submit Content that is defamatory, obscene, infringing of a third party's intellectual property or other rights, or that you do not have the right to share.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Access or attempt to access data or accounts that are not yours, or probe, scan or test the vulnerability of the Platform.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Platform, save to the extent such restriction is prohibited by applicable law.
  • Scrape, harvest, or bulk-extract data from the Platform, or use automated means to access it, without our prior written consent.
  • Circumvent or attempt to circumvent rate limits, payment mechanisms, or the interview-integrity monitoring described in Section 6.
  • Resell, sublicense, or otherwise provide commercial access to the Platform to a third party without our prior written consent.

We reserve the right, but assume no obligation, to monitor use of the Platform for compliance with this Section, and to remove Content or suspend or terminate an account in accordance with Section 16 for a breach of it.

11. Third-party services and links

The Platform relies on and may link to third-party services, including our payment aggregator and AI service providers. We do not control, and are not responsible for, the availability, content, or practices of these third parties. Your use of a third-party service accessed through the Platform is governed by that third party's own terms.

12. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Platform and the Services are provided on an "as is" and "as available" basis, without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that any AI-generated output will be accurate or will produce any particular career outcome.

13. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall [Tejasya's registered legal entity name], its directors, officers, employees or agents be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, or opportunity (including a missed employment opportunity), arising out of or in connection with your access to or use of, or inability to access or use, the Platform, whether based in contract, tort (including negligence), or otherwise, even if advised of the possibility of such damages. Where liability cannot lawfully be excluded, our aggregate liability to you for all claims arising out of or relating to these Terms or the Platform shall not exceed the amount you paid us for Credits in the twelve (12) months immediately preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify, defend and hold harmless [Tejasya's registered legal entity name], its directors, officers, employees and agents from and against any claim, demand, loss, liability, damage or expense (including reasonable legal fees) arising out of or relating to: (a) your Content; (b) your breach of these Terms; (c) your violation of any applicable law; or (d) your infringement of any right of a third party.

15. Force majeure

Neither party shall be liable for any failure or delay in performance under these Terms resulting from circumstances beyond its reasonable control, including acts of God, natural disaster, war, terrorism, civil unrest, governmental action, internet or telecommunications failure, or failure of a third-party service provider (including a payment aggregator or AI service provider) on which the Platform depends.

16. Suspension and termination

You may stop using the Platform, and request deletion of your account, at any time, as described in the Privacy Policy.

We may suspend or terminate your access to the Platform, in whole or in part, with or without prior notice, where: (a) you breach these Terms; (b) we are required to do so by law or by direction of a competent authority; (c) we reasonably believe suspension is necessary to protect the security or integrity of the Platform or the rights of another User; or (d) we discontinue the Platform or the relevant Service, in which case we will provide reasonable notice where practicable.

On termination, your right to access the Platform ceases immediately; Sections 9, 12, 13, 14, 17 and 18 survive termination.

17. Dispute resolution and arbitration

17.1 Escalation. In the event of any dispute, controversy or claim arising out of or relating to these Terms, including its existence, validity, interpretation, performance, breach or termination (a "Dispute"), the parties shall first attempt to resolve it amicably through the grievance mechanism at Section 19.

17.2 Arbitration. Any Dispute not resolved within thirty (30) days of a written notice of the Dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended, before a sole arbitrator appointed by mutual agreement of the parties, or, failing agreement within fourteen (14) days, in accordance with that Act. The seat and venue of arbitration shall be Bengaluru, Karnataka, India, the language of the arbitration shall be English, and the arbitral award shall be final and binding on the parties.

17.3 Interim relief. Nothing in this Section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction where necessary to prevent irreparable harm, pending the constitution of the arbitral tribunal.

18. Governing law and jurisdiction

These Terms, and any Dispute arising out of or in connection with them, are governed by the laws of India. Subject to Section 17, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any matter not required to be referred to arbitration, including an application for interim relief.

19. Grievance redressal mechanism

In accordance with Rule 3(2) of the IT Rules, 2021, complaints regarding these Terms or your use of the Platform may be addressed to our Grievance Officer, whose details are set out in Section 14 of the Privacy Policy. We will acknowledge receipt within twenty-four (24) hours and endeavour to resolve the grievance within fifteen (15) days.

20. Changes to these Terms

We may amend these Terms from time to time. Where a change is material, we will notify you by email or a prominent notice on the Platform before it takes effect. Your continued use of the Platform after the effective date of a revision constitutes acceptance of the revised Terms; if you do not agree, you must stop using the Platform.

21. General provisions

  • Severability: If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
  • Waiver: No failure or delay by either party in exercising any right under these Terms shall operate as a waiver of that right.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, on notice to you.
  • Relationship of the parties: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Tejasya.
  • Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Tejasya regarding the Platform, and supersede any prior agreement on the subject.
  • Notices: We may give notice to you by email to the address on your account, or by a prominent notice on the Platform. You may give notice to us using the contact details in Section 22.
